Course content
Lectures: 1. Basic's information 2. Introduction to business law I - principles, sources 3. Introduction to business law II - systematic structure of civil code, systematic structure of law structure, terms 4. Corporation law I - structures, founding, changes, cancellation and termination 5. Corporation law II - unlimited partnership, limited partnership, limited liability company, joint-stock company, cooperative 6. Public registers and records written in them - Trade Register, Commercial Register 7. Middle-term test 8. Obligations I - legal terms, legal relation, obligation's content, formation of obligation, termination of obligation, contract, pre-contract responsibility 9. Obligations II - contract's modification, long-distance contracts, futures contracts, ensure, damage liability, negotiorum gestio 10. Obligations III - contract types, sale of a business, contract for work, dispositions with establishment, business lease, business management contract, franchise, contract of transport, insurance contract, silent partnership 11. Insolvency I - introduction to debt issues, terminology, decline (bankruptcy), insolvency proceedings 12. Insolvency II - ways of dealing with decline bankruptcy, reorganization, debt relief Exercises: 1. Basic's information 2. Private and public law, principles of private law 3. Business subjects (businessman, consumer and so on) 4. Founding of legal person, corporations; dissolution of business corporations 5. Acting of corporation, legal position of associate 6. Entrepreneurship according to the Trade Act 7. Application of registration of recording into the Commercial Register, trading license 8. Relative rights 9. Formation of obligation, obligation's modification, termination of obligation 10. Sale of a business, contract for work 11. Bankruptcy and its solutions 12. Insolvency application 13. Credit test

Learning outcomes
The aim of this course is introduction to business law, corporate law, laws of obligation and trade law.
Students understand basic concepts and principles of business, corporate and trade law and laws of obligation.
Prerequisites
The course of Law (PRAVB) is a prerequisite for the course of Commercial law.

Assessment methods and criteria
Oral examination, Test, Seminar work

Credit requirements: 1. Participation in exercises (up to two absences) 2. Elaboration of written tasks: - Work lists - Notification of a sole trader using the unified registration form - Application of registration of recording into the Commercial Register - Insolvency application - Sale contract - Contract for work 3. Credit test - middle-term test - final test Credits will be awarded not earlier than 14 days before the end of the semester in accordance with the measure of Dean No. 124/2017 Article 15. Examination requirements: During the examination, students demonstrate knowledge of the basics of business and trade law. Students take randomly two exam questions from the list of exam questions. One from part A, one from part B. The examinations will be written 3 weeks before the beginning of the examination period in accordance with the measure of Dean No. 124/2017 Article 15.
